Puel nous informait d'un travail conduit en commun entre le Centre des
Jeunes Dirigeants d'Entreprises (CJD), le Cercle Condorcet de Rennes et
Economie et Humanisme [<http://www.economie-humanisme.org> (*)] sur le
theme du developpement de la democratie dans les entreprises.
Le Cercle Condorcet travaille sur un projet "d'entreprise a gestion
paritaire" : les salaries participent aux decisions de l'entreprise au
moyen d'un tiers des voix donne a leurs delegues au conseil
d'administration ou au conseil de surveillance. Yves Lambert, chercheur
francais en sociologie et animateur au Cercle Condorcet, decrit plus
amplement ce type de societe dans le forum "Entreprises et Solidarite" de
l'Alliance pour un monde responsable, pluriel et solidaire

La voie retenue par le Cercle Condorcet est celle de la modification de
l'environnement juridique des entreprises en proposant une nouvelle forme
de societe. En fait sur la base de la societe a directoire et conseil de
surveillance telle que definie en France par la loi de 1966, il s'agirait
d'introduire la parite entre salaries et actionnaires en instituant deux
assembles generales : une ne comprenant que des actionnaires, l'autre des
salaries et designant chacune le meme nombre de representants au conseil de
surveillance qui ensuite designerait le directoire.
Si cette voie est interessante, la societe a directoire et conseil de
surveillance etant deja en soi un progres vis-a-vis de la democratie, on
peut craindre que l'evolution de ce texte par la voie legislative et
reglementaire soit tres longue. N'oublions pas qu'en France, la forme
directoire et conseil de surveillance n'a pas connu jusqu'alors un tres
grand succes.
C'est pourquoi, comme le pense Hugues Puel, la recente adoption au sommet
de Nice du projet de societe anonyme europeenne peut etre tres favorable a
l'evolution des comportements.
A noter que le projet du Cercle Condorcet pose le probleme de
l'actionnariat salarie... Quelle serait la position d'un salarie, possedant
un certain nombre d'actions de son entreprise lui donnant droit a
participer a l'assemblee generale des actionnaires et par ailleurs membre
de l'assemblee generale des salaries et eventuellement designe par celle-ci
pour sieger au conseil de surveillance ?

The Circle Condorcet works on a project "from business to joint
management": the workers participate to the internal decisions of the
business by means of a third of the voices given to their delegates in the
board of directors or in the board of supervision. Yves Lambert, French

The way noted by the Circle Condorcet is the one of the modification of the
legal environment of the business while proposing a new form of society. In
fact on the basis of the society of board of directors and board of
supervision such as definite in France by the law of 1966, it would be
about introducing the equality between workers and shareholders introducing
two general assembly: one with only the shareholders, and the other with
the workers and each one designate the same number of representatives to
the board of supervision which then would designate the board of directors.
If this way is interesting, the board of directors society and board of
supervision being already in itself a progress to the democracy, one can
fear that the evolution of this text by the legislative and regulatory way,
will take a very long time. Let's not forget that in France, the directory
form and board of supervision didn't know until now a lot of great success.
It is why, as Hugues Puel thinks, the recent adoption to the summit of Nice
of the European public company project can be very favorable to the
evolution of the behaviors.
To note that the project of the Circle Condorcet presents the problem of
the shareholding workers... What would be the position of a worker, holder
of a number of actions of his business which gives him the right to
participate to the general assembly of the shareholders and also to be a
member of the general assembly of the workers and then could be possibly
designated by it to sit in the board of supervision?
